Terms of Service
Welcome to Cliently. These Terms govern your use of the Cliently platform, including our lead marketplace, ClientlyAI ad agent, CRM, and automation tools.
1. Who we are
Cliently is a two-sided lead marketplace and autonomous ad-operations platform. In these Terms, "Cliently," "we," or "us" refers to the operator of the services. "You" refers to any user — buyer, seller, agency, or admin — who signs up or accesses the service.
2. Accounts
You must provide accurate signup information and keep credentials secure. You are responsible for all activity under your account. Organization owners can invite team members and are liable for their team's use of the service.
3. Lead marketplace conduct
Sellers warrant that every lead listed is legitimately captured with proper consent (TCPA, GDPR, CCPA as applicable). Buyers agree to use purchased leads only for the business purpose the lead consented to. Duplicate, fraudulent, or harvested leads are grounds for immediate account termination and refund claw-back.
4. ClientlyAI autonomous actions
When you set ClientlyAI to "Approve" or "Autopilot," you explicitly authorize the agent to take actions on your behalf — pausing campaigns, reallocating budget, sending outreach messages, etc. — within the guardrails you configure. You remain responsible for all outbound communications sent from your account.
5. Payment + billing
Paid features are billed monthly or annually per the selected plan. You authorize Cliently to charge your payment method on file. Cliently credits purchased under the AI agent plan are non-refundable but do not expire within an active subscription.
6. Acceptable use
No spam, phishing, deceptive content, automated scraping of the platform, reverse engineering, or use of the service to violate any law. Violation may result in immediate suspension.
7. Disclaimers + limitation of liability
The service is provided "as is." Cliently disclaims all implied warranties and will not be liable for indirect, incidental, or consequential damages. Our total aggregate liability is capped at the fees you've paid in the preceding 12 months.
8. Changes
We may update these Terms. Material changes will be announced at least 14 days in advance via email and in-app notice.
